An acquisition was made by a large Swiss logistics company looking to expand their portfolio.

The existing four shareholders sold a total of 80% of the issued share capital with one of the shareholders retaining 20%.  In addition to the key transaction documents this involved a share reorganisation as well as a restructuring of the group companies. In addition, the matter required an option agreement to deal with how the retained 20% shareholding would be dealt with.
